These Terms of Service ("Terms") govern your use of the V¡enture website. By using this site, you agree to these Terms. V¡enture is a trade name used by William D'Onofrio (d/b/a V¡enture).

Engagement Formation
Use of this website does not, by itself, create a services agreement. Any paid or unpaid project engagement begins only after written mutual confirmation of scope, deliverables, and commercial terms.

Unless otherwise noted, content on this site belongs to V¡enture or its licensors and is protected by applicable intellectual property laws.
Project Scope, Changes, and Delivery
Engagements are performed only within the agreed scope. Any additional requests, features, integrations, or timeline changes may require a written change order or revised agreement before work proceeds.
Unless otherwise stated in writing, delivery timelines are estimates and depend on client responsiveness, required access, and third-party dependencies.
Fees and Payment
If and when commercial engagements begin, fees, billing schedule, and payment terms will be defined in a written project agreement. No work begins without confirmed scope and identified end beneficiary.
Ownership and License
Ownership, license rights, and transfer conditions for deliverables are governed by the applicable project agreement. Unless otherwise agreed, pre-existing tools, templates, methods, and general know-how remain the property of V¡enture, and third-party components remain subject to their own license terms.
Client Responsibilities
- Provide accurate project requirements, approvals, and required access in a timely manner.
- Confirm lawful rights to any data, systems, assets, or content provided for project use.
- Review deliverables promptly and provide consolidated feedback against agreed scope.

This site may include links to third-party services. We are not responsible for third-party content, terms, or privacy practices.
Professional Compliance and Conflicts
V¡enture represents that it has the legal right and authority to enter into and perform client engagements.
V¡enture will perform services using its own resources and will not use or disclose any confidential, proprietary, or trade secret information of any third party, including any current or former employer.
Clients must not provide, request, or require use of any third-party confidential or proprietary information.
V¡enture may decline, pause, or terminate an engagement if V¡enture determines in good faith that the engagement presents a legal, contractual, ethical, or conflict-of-interest concern.
V¡enture accepts selective, defined-scope engagements and does not provide open-ended freelance consulting where the end beneficiary is undetermined at the time of engagement.
Clients are expected to identify the intended end customer and project scope before work begins.
Pre-Engagement Requirements
- Defined project scope and deliverables.
- Identified intended end customer or beneficiary.
- Disclosure of known partner, vendor, and counterparty relationships relevant to the work.
- Written agreement on ownership, access, and confidentiality terms before implementation.
Nothing in these Terms creates exclusivity, employment, partnership, or fiduciary relationship between the parties.
Termination
Either party may terminate a project engagement as allowed by the applicable written agreement. V¡enture may also suspend or terminate access to this website for misuse, unlawful activity, or material violation of these Terms.
Disclaimer
This site is provided "as is" and "as available" without warranties of any kind, to the extent permitted by law.
No Guarantee of Business Outcome
Product development and market adoption involve uncertainty. V¡enture does not guarantee fundraising outcomes, revenue targets, customer acquisition levels, or other specific business results.
Limitation of Liability
To the extent permitted by law, V¡enture is not liable for indirect, incidental, or consequential damages arising from use of this site.
Governing Law
These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles.
